Project Timeline

While we’ve outlined an ideal project timeline, it’s important to understand that deadlines may shift if there are delays in client approvals or deliverables. We’ll communicate any changes promptly and work to keep things on track.

Payment Terms

This project is structured as an hours-for-hours trade between Holland Living and Social Design House.

In lieu of monetary payment, Holland Living will bank 64 hours of fractional COO consulting services for SDH, equivalent to the estimated project value of $9,600 (at SDH's standard rate of $150/hr). These banked hours will be available for SDH to utilize as needed to support ongoing business growth and operations. Should the project scope flex per the terms outlined above (up to 20% above or below the estimate), the banked consulting hours will be adjusted accordingly to reflect actual time spent.

Terms & Conditions


Agreement as of February 25, 2025, between Holland Living (hereinafter referred to as the “Client”), and Social Design House (hereinafter referred to as the “Designer”)

Whereas, Designer is a professional designer of good standing;

Whereas, the Client wishes the Designer to create certain Designs described in the proposal above; and

Whereas, Designer wishes to create Design;

The parties agree as follows:

1. Description

Designer shall provide Client with the services listed in the proposal above

Delivery and Testing
Upon Client’s written approval of the initial design and receipt of the necessary assets (including but not limited to text, visual and sound elements) from the Client, the Designer shall build the client’s Websites. In consultation with the Client, the Designer shall make necessary corrections before finalizing design and making changes live.

Hourly Rates
Standard hourly rates are $150/hr. Rush hourly rates may be applied for work requested within 10 business days at an additional $50/hr.

Support
If the Designer is called upon by the Client for support beyond the amount agreed upon in the proposal and contract, updates can be made on an hourly basis or a separate Social Support plan can be created to accommodate these requests.

Deadlines
The Designer’s time for performance shall be extended by any delays caused by the Client, including but not limited to delays arising from the failure to deliver assets or advise the Designer as to corrections. Delays in timeline will not effect cost as long as the scope of work for the project remains the same.

2. Grant of Rights

Upon receipt of full payment, Designer shall grant to the Client exclusive usage rights for the business, nonprofit organization, project, product, or publication for the following time period: forever. Client shall be the owner of the Identity and Website files and have unlimited rights to use the design without restriction. In addition, the Client shall have the right to use assets supplied by the Designer without restriction.

The Designer retains the right to make portfolio use of the project or parts thereof after the work has been completed.

3. Fee
Client agrees to pay the fees listed in the “Payment Schedule” section as part of the contract. Additional work beyond the contracted functionality will be quoted separately or billed at an estimated and agreed upon amount at our hourly rate.

4. Expenses
Project cost will not include expenses of printing production, hosting, domain names as well as related expenses including but not limited to, travel, messengers, telephone, audio and unreturned electronic storage media. Expenses, if given prior written approval, will be billed separately and included in monthly invoices.

5. Payment
Client agrees to pay the Designer within 30 days of the date of Designer’s billing, which shall be dated as of the date of delivery of the Designs or upon the last day of each month. In the event that work is postponed at the request of the Client, the Designer shall have the right to bill pro rata for work completed through the date of that request, while reserving all other rights. Overdue payments shall be subject to interest charges of 1.5% monthly.

6. Copyright Notice
Copyright notice for the work shall appear in the name of the Client, unless specified to the contrary. Other copyright notices, such as for photography, illustration and music, shall be included as required in the relevant releases.

7. Cancellation
In the event of cancellation by the Client, the Client shall pay all expenses incurred by the Designer as well as fees based on the degree of completion of the project. Both parties have the right to modify or terminate the agreement with 30 days written notice. Upon cancellation, the client will retain ownership of all design, files and code created for the project up to the requested termination date.

8. Overages
Additional costs will be incurred for functionality requests and content additions beyond the agreed upon services, sitemap and functionality for each site. The client will be notified of any potential overage costs in advance and asked for written approval by submitting a formal change request. Approved overage costs will be added to the total cost of the project and billed during the next billing cycle.
